Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and The WebSite Guru ("Company," "we," "us," or "our"), governing your use of our website at thewebsiteguru.com and any web design, development, AI solutions, or related services we provide.

By engaging our services, submitting credentials through our onboarding portal, or making a payment, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

2. Services

The WebSite Guru provides professional web design, web development, e-commerce solutions, AI chatbot integration, AI-driven automation, and related digital services. The specific scope, deliverables, and timeline for each project will be discussed and agreed upon between the Client and the Company prior to commencement of work.

3. Payment Terms

3.1 All Payments Are Final

All payments made to The WebSite Guru are final and non-refundable. By making a payment, you acknowledge and agree that no refunds will be issued under any circumstances, including but not limited to dissatisfaction with the final deliverable, change of mind, business closure, or failure to provide timely feedback or materials.

3.2 Payment Schedule

Payment terms are as follows unless otherwise agreed upon in writing:

  • Payment is due as specified at the time of engagement.
  • Work will not commence until the agreed-upon payment has been received in full.
  • Additional services requested outside the original scope will require additional payment prior to commencement.

3.3 Payment Processing

Payments are processed securely through Stripe, Inc. By making a payment, you also agree to Stripe's Terms of Service. The WebSite Guru does not store credit card or banking information.

4. Revisions and Edits

4.1 Included Revision

Each deliverable includes one (1) complimentary revision at no additional charge. This revision must be requested within fourteen (14) calendar days of the deliverable being presented to the Client.

4.2 Scope of Revisions

Revisions are strictly limited to corrections and adjustments to the work as originally specified and delivered. A revision is defined as a modification to fix bugs, errors, or discrepancies between the delivered work and the original agreed-upon requirements.

Revisions do not include:

  • Adding new features, functionality, or pages not part of the original scope.
  • Changing, expanding, or redefining the original project requirements or specifications.
  • Redesigning or restructuring elements that were delivered as agreed.
  • Changes resulting from the Client's change of preferences, strategy, or business direction after delivery.
  • Modifications requested due to third-party feedback obtained after delivery.

4.3 Additional Edits

Edits requested beyond the one (1) included revision, or edits that fall outside the scope defined in Section 4.2, will be billed at our standard hourly rate. The applicable hourly rate will be communicated to the Client and must be agreed upon in writing before additional work begins.

4.4 Revision Request Process

All revision requests must be:

  1. Submitted in writing (email or through our designated communication channels).
  2. Clearly and specifically describe the changes requested.
  3. Reference the original requirements to demonstrate how the delivered work differs.

5. Project Scope and Change Orders

5.1 Scope Definition

The scope of each project is defined by the requirements discussed and agreed upon before work begins. Any verbal or written agreements regarding deliverables, features, and specifications form the basis of the project scope.

5.2 Changes to Scope

Any changes to the project scope after work has commenced — including new features, additional pages, design changes, or functional modifications — constitute a "Change Order." Change Orders will be quoted separately, require written approval from the Client, and are subject to additional fees and adjusted timelines.

6. Client Responsibilities

To ensure timely and successful project delivery, the Client agrees to:

  • Provide all necessary content, images, credentials, and materials in a timely manner.
  • Respond to communications and revision requests within a reasonable timeframe.
  • Provide clear, complete, and accurate project requirements before work begins.
  • Review and approve deliverables within fourteen (14) calendar days of presentation. Deliverables not disputed within this period will be deemed accepted.

6.1 Project Delays

If a project is delayed for more than thirty (30) calendar days due to the Client's failure to provide required materials, feedback, or approvals, the Company reserves the right to consider the project complete as delivered. No refunds will be issued for projects delayed by Client inaction.

7. Intellectual Property

7.1 Ownership Transfer

Upon receipt of full payment, ownership of the custom-designed deliverables (HTML, CSS, and custom graphics created specifically for the Client's project) transfers to the Client.

7.2 Retained Rights

The Company retains the right to:

  • Use the completed project in its portfolio, marketing materials, and case studies.
  • Retain ownership of any proprietary frameworks, templates, code libraries, or tools used in the creation of the deliverables that were not created exclusively for the Client.

7.3 Third-Party Assets

Any third-party assets (stock photos, fonts, plugins, or software licenses) used in the project remain subject to their respective license terms and are not transferred to the Client as owned assets.

8. Confidentiality

We take the confidentiality of your information seriously. Any credentials, business information, or proprietary data shared with us during the course of a project will be:

  • Used solely for the purpose of completing the contracted services.
  • Not disclosed to any third party without the Client's prior written consent.
  • Deleted or returned upon project completion, unless ongoing maintenance has been agreed upon.

9. Limitation of Liability

To the maximum extent permitted by law, The WebSite Guru's total liability for any claims arising out of or related to our services shall not exceed the total amount paid by the Client for the specific project in question.

The Company shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of revenue, profits, data, or business opportunities.
  • Downtime, security breaches, or performance issues caused by third-party hosting providers, software, or services.
  • Any damages resulting from the Client's misuse, modification, or unauthorized alteration of delivered work.
  • Delays or failures caused by circumstances beyond the Company's reasonable control (force majeure).

10. Warranty Disclaimer

All services and deliverables are provided "as is" upon completion. The Company makes no warranties, express or implied, regarding:

  • Specific business results, traffic increases, or revenue generation from the delivered website or services.
  • Uninterrupted or error-free operation of the delivered website (which may depend on third-party hosting, browsers, or infrastructure).
  • Compatibility with future browser updates, operating system changes, or third-party platform modifications.

11. Termination

11.1 Termination by Client

The Client may terminate the engagement at any time by providing written notice. However, all payments made prior to termination are non-refundable per Section 3.1. The Client will receive any completed work up to the date of termination.

11.2 Termination by Company

The Company reserves the right to terminate the engagement if the Client:

  • Fails to make agreed-upon payments.
  • Engages in abusive, threatening, or harassing behavior toward Company personnel.
  • Repeatedly fails to provide necessary materials or feedback, preventing project progress.

12. Dispute Resolution

In the event of a dispute arising from these Terms or our services, both parties agree to first attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached within thirty (30) days, the dispute shall be resolved through binding arbitration in accordance with the laws of the State of Georgia, United States.

13. Indemnification

The Client agrees to indemnify and hold harmless The WebSite Guru, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

  • Content provided by the Client that infringes on third-party intellectual property rights.
  • The Client's use or misuse of the delivered work.
  • The Client's breach of these Terms.

14. Modifications to Terms

The Company reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between the Client and The WebSite Guru and supersede any prior verbal or written agreements.
